These Terms and Conditions (“Terms,” “Terms of Service,” or “Agreement”) constitute a legally binding agreement between you (“you,” “your,” “Member,” or “User”) and Celebrate Black Love LLC (“Celebrate Black Love,” “CBL,” “we,” “our,” or “us”).
These Terms govern your access to and use of the Celebrate Black Love website, mobile applications, dating platform, communications services, compatibility tools, artificial-intelligence features, community areas, content, subscriptions, digital products, virtual items, and other services made available by CBL (collectively, the “Services”).
By creating an account, purchasing a membership or digital product, accessing the Services, or clicking a button indicating your acceptance of these Terms, you acknowledge that you have read, understood, and agreed to be bound by these Terms and all policies incorporated into them.
If you do not agree, do not create an account, purchase a subscription, or use the Services.
1. ABOUT CELEBRATE BLACK LOVE
Celebrate Black Love is an intentional dating and relationship platform designed to facilitate meaningful connections while integrating compatibility, relationship education, wellness resources, cultural connection, safety, community, and related services.
CBL is designed with a particular mission of celebrating and strengthening Black love, families, culture, wellness, and community. However, membership is not restricted by race or ethnicity. Everyone is welcome, subject to these Terms and CBL’s eligibility requirements.
CBL does not guarantee that any Member will obtain a match, date, relationship, marriage, particular compatibility result, or other personal outcome.
2. ELIGIBILITY — ADULTS ONLY
You must be at least eighteen (18) years old and legally capable of entering into a binding contract to create an account or use CBL.
Minors are strictly prohibited from creating accounts or using the dating Services.
By creating an account, you represent and warrant that:
- you are at least 18 years old;
- you have legal capacity to enter this Agreement;
- you are not prohibited by applicable law from using the Services;
- the information you provide is truthful and accurate;
- you will maintain only accounts that legitimately belong to you;
- you will comply with these Terms and applicable laws; and
- your use of CBL does not violate any contractual or legal obligation applicable to you.
CBL may request identity, age, photograph, telephone, email, or other verification.
CBL may suspend or terminate an account if it reasonably believes the Member is underage, has falsified identity information, has circumvented verification, or is otherwise ineligible.
3. ACCOUNT REGISTRATION AND IDENTITY VERIFICATION
Members may be required to provide information including their name, date of birth, age, gender, relationship preferences, ZIP code, email address, mobile number, photographs, and other profile or verification information.
CBL may use third-party identity-verification, fraud-prevention, payment, cybersecurity, communications, and safety providers.
Verification does not constitute an endorsement, background check, guarantee of identity, guarantee of character, or guarantee of safety.
Members must safeguard their login credentials and may not allow another person to access or operate their account.
You are responsible for activity occurring through your account unless caused by CBL’s own unauthorized actions.
Immediately report suspected unauthorized access to:
support@CelebrateBlackLove.com
4. MEMBER REPRESENTATIONS
Each Member represents that information submitted to CBL is materially truthful and is not intended to mislead other Members.
Members may not intentionally misrepresent material facts including identity, age, photographs, marital or relationship status, location, occupation, intentions, or other information where the misrepresentation creates a safety, fraud, or material deception concern.
CBL reserves the right to investigate reports of material misrepresentation and take appropriate account action.
5. RELATIONSHIP INTEGRITY STATEMENT OF EXCELLENCE — RISE
Celebrate Black Love may offer the Relationship Integrity Statement of Excellence (“RISE”) to Members.
RISE is an optional commitment available to Members of all membership levels, including Genesis, Royal, Legacy, and Dynasty.
A Member’s decision to sign or endorse RISE is voluntary.
A RISE designation represents the Member’s stated commitment to CBL’s relationship-integrity principles. It is not a guarantee by CBL regarding that person’s honesty, relationship status, behavior, character, intentions, compatibility, or future conduct.
Members remain responsible for exercising independent judgment when interacting with others.

The price presented to you before completing a transaction controls that transaction.
9. VIRTUAL ITEMS, TOKENS, GIFTS AND DIGITAL FEATURES
Virtual tokens, virtual gifts, Priority Likes, boosts, passes, Insights, and similar digital items:
- are licensed digital features and not real currency;
- have no cash value outside CBL;
- may not be exchanged for cash unless required by law;
- may not be sold or transferred outside authorized CBL functionality;
- may not be used for gambling;
- may not be fraudulently acquired or manipulated; and
- may expire or be discontinued where disclosed and permitted by law.
Purchasing or receiving a virtual gift does not create any ownership interest, financial interest, contractual relationship, or obligation between Members.
10. AUTOMATIC RENEWAL
Paid monthly and annual subscriptions automatically renew for successive billing periods unless canceled before renewal, except where prohibited by law.
By purchasing a recurring subscription, you authorize CBL and/or its authorized payment processor or applicable app marketplace to charge the applicable recurring subscription price, taxes, and disclosed charges to your selected payment method.
Cancellation prevents future renewal charges but ordinarily does not terminate access for the remainder of an already-paid subscription period.
CBL will provide automatic-renewal disclosures, reminders, notices, and cancellation methods as required by applicable law.
11. CANCELLING A SUBSCRIPTION
Members may cancel recurring billing through available account or subscription settings or through the platform through which the subscription was purchased.
Members may also contact:
support@CelebrateBlackLove.com
If a subscription was purchased through the Apple App Store, Google Play, or another third-party marketplace, cancellation may need to be completed through that marketplace.
Deleting the CBL application from a device does not necessarily cancel a paid subscription.
Deleting or deactivating a CBL profile does not necessarily cancel an independently billed subscription unless the applicable cancellation process is completed.
12. GENERAL NO-REFUND POLICY
Except where a refund, rescission, cancellation, or credit is required by applicable law, all purchases are final and non-refundable once charged.
This includes, subject to applicable law:
- monthly membership charges;
- annual membership charges;
- Connections Insights;
- ElevateMe purchases;
- RankUp purchases;
- Incognito passes;
- Priority Likes;
- virtual tokens;
- virtual gifts;
- consumed digital benefits;
- promotional purchases; and
- other digital products or services.
CBL does not ordinarily provide refunds or credits for:
- unused subscription time;
- failure to use the Services;
- dissatisfaction with matches;
- failure to obtain a relationship;
- voluntary account deletion;
- Member-to-Member incompatibility;
- accidental failure to cancel before renewal; or
- account suspension or termination resulting from a Member’s violation of these Terms.
However, CBL’s no-refund policy does not eliminate any refund or cancellation right that cannot legally be waived. Applicable law controls.
13. STATE-SPECIFIC CANCELLATION AND REFUND RIGHTS
Some jurisdictions provide consumers with additional statutory rights. Where applicable, those rights supersede conflicting portions of CBL’s general no-refund policy.
California
For transactions covered by California dating-service law, a California buyer may cancel the agreement, without penalty or obligation, at any time before midnight of the original contract seller’s third business day following the date of the contract, subject to California law.
Cancellation may be submitted to:
Celebrate Black Love LLC
30 N Gould St, Ste N
Sheridan, WY 82801
or electronically to:
support@CelebrateBlackLove.com
California law may also provide additional rights relating to death or qualifying disability, including relief from payment for certain unused services and appropriate refunds of prepaid amounts allocable to services not received.
Nothing in these Terms limits rights provided under California Civil Code §§ 1694 et seq.
New York
Where New York General Business Law § 394-c applies, a purchaser may cancel a covered social-referral or online-dating-service contract without a cancellation fee within three business days after the applicable statutory date.
New York purchasers may send cancellation notice to:
support@CelebrateBlackLove.com
or:
Celebrate Black Love LLC
30 N Gould St, Ste N
Sheridan, WY 82801
New York Members will also receive or have electronic access to any Dating Service Consumer Bill of Rights required by New York law.
CBL will provide New York Members any additional cancellation, hold, privacy, fraud-warning, deletion, or refund rights required by applicable New York law.
Illinois
Where the Illinois Dating Referral Services Act applies, eligible Illinois customers may have statutory cancellation rights, including a full refund following timely cancellation during the applicable statutory cancellation period.
Certain covered transactions may provide three business days, while qualifying contracts not purchased at an existing facility may receive a longer statutory period, including seven calendar days, as provided by Illinois law.
Any additional statutory rights concerning relocation, death, unavailable services, cancellation, or refunds will be honored where applicable.
Other States and Jurisdictions
Other states, territories, countries, or jurisdictions may provide additional mandatory cancellation, cooling-off, renewal, refund, disability, death, relocation, or consumer-protection rights.
CBL will honor all non-waivable rights required by the law applicable to the Member’s transaction.
Nothing in this Agreement is intended to waive a consumer right that applicable law prohibits CBL from waiving.
14. APP STORE AND THIRD-PARTY PURCHASES
Purchases processed through Apple, Google, or another third-party marketplace may also be governed by that marketplace’s payment and refund policies.
Where the marketplace controls billing or refunds, Members may be required to submit refund requests directly to that provider.
Nothing in this section eliminates rights available under applicable law.
15. ACCEPTABLE USE POLICY
CBL is intended for lawful, respectful, authentic dating, relationship, educational, wellness, cultural, and community interaction.
You may not use CBL to engage in, promote, facilitate, solicit, encourage, assist, organize, advertise, normalize, glorify, or materially support prohibited conduct.

- knowingly benefit from trafficking or exploitation;
- aid, abet, assist, encourage, facilitate, conceal, finance, or materially support trafficking, exploitation, or related abuse; or
- use CBL communications, profiles, payments, gifts, tokens, or other features in furtherance of such conduct.
CBL may immediately suspend or terminate accounts reasonably suspected of such activity and may preserve and disclose relevant information where authorized or required by law.
17. CHILD SEXUAL EXPLOITATION AND ABUSE
CBL prohibits all child sexual exploitation and abuse.

19. SEXUAL CONSENT AND NONCONSENSUAL CONTENT
Sexual assault, sexual coercion, and nonconsensual sexual conduct are prohibited.
Members may not post or distribute intimate photographs, videos, recordings, or sexually explicit material depicting another identifiable person without that person’s consent.
Members may not threaten to publish intimate material to control, embarrass, extort, punish, or coerce another person.
20. SCAMS, FRAUD AND FINANCIAL EXPLOITATION
CBL prohibits romance scams and financial exploitation.
Members may not:
- create fraudulent profiles;
- impersonate another person;
- solicit money through deception;
- request money under false pretenses;
- conduct investment scams;

- operate money-mule schemes;
- conduct advance-fee schemes;
- steal financial information;
- conduct phishing;
- engage in identity theft;
- fraudulently solicit gifts;
- use stolen payment credentials; or
- manipulate another Member into transferring money or financial assets.
CBL strongly discourages Members from sending money, cryptocurrency, gift cards, banking credentials, or financial information to persons they meet through the Services.
21. IMPERSONATION AND DECEPTIVE ACCOUNTS
Members may not impersonate another individual, celebrity, government official, military member, CBL representative, organization, or business.
Members may not use photographs belonging to another person without authorization or create materially deceptive identities.
Parody or fictional accounts are not permitted where they could reasonably be mistaken for authentic dating profiles.
22. HARASSMENT AND HATEFUL CONDUCT
Members may not engage in targeted harassment, bullying, degrading threats, intimidation, or unlawful discriminatory conduct.
Content advocating violence against people based on protected characteristics is prohibited.
CBL may remove abusive or degrading content inconsistent with its Community Guidelines even where the content may not independently violate criminal law.

This includes trafficking, fraud, theft, extortion, money laundering, illegal drug distribution, sexual exploitation, criminal solicitation, or other unlawful activity.
24. WEAPONS AND THREATS
Members may not use CBL to threaten another person with a weapon, arrange unlawful weapons transactions, or facilitate unlawful violent activity.
Lawful photographs involving weapons may nevertheless be restricted where CBL determines they create a safety concern or violate Community Guidelines.
25. COMMERCIAL SOLICITATION AND SPAM
CBL is primarily a dating and relationship platform.
Unless expressly authorized by CBL, Members may not use the Services for:
- mass advertising;
- spam;
- pyramid schemes;
- multi-level marketing recruitment;

By submitting Member Content to CBL, you grant CBL a nonexclusive, worldwide, royalty-free license to host, store, reproduce, display, process, adapt as technically necessary, and otherwise use that content to operate, secure, moderate, improve, and provide the Services, subject to applicable law and CBL’s Privacy Policy.
This license ends when the content is deleted from CBL systems except to the extent retention is reasonably necessary for backups, fraud prevention, legal compliance, dispute resolution, enforcement, safety, or other lawful purposes.
You represent that you have the necessary rights to content you upload.
28. INTELLECTUAL PROPERTY
CBL’s names, trademarks, logos, designs, software, text, graphics, membership names, badges, proprietary compatibility materials, Connections Insights, AI implementations, community areas, King’s Den, Queen’s Parlor, and other CBL-created intellectual property are owned by or licensed to Celebrate Black Love LLC.
Except as expressly permitted, Members may not copy, reproduce, distribute, modify, sell, sublicense, reverse engineer, or commercially exploit CBL intellectual property.
29. AI FEATURES
CBL may provide artificial-intelligence-assisted features, including conversation assistance, profile enhancement, compatibility analysis, recommendations, or Connections Insights.
AI-generated output may be inaccurate, incomplete, inappropriate, or not suitable for a particular Member.
Members should exercise independent judgment.
AI output does not constitute psychological, medical, legal, financial, or professional advice and does not guarantee relationship compatibility or success.
Members may not use CBL’s AI features to generate unlawful, abusive, deceptive, exploitative, harassing, or otherwise prohibited material.
30. WELLNESS CONTENT
CBL may provide wellness education, articles, videos, assessments, resources, badges, or related information.

CBL may make certain wellness opportunities available to qualified members that may include fitness and wellness.
32. WELLNESS COMMITMENT BADGE
Eligible Members may earn or display a Wellness Commitment Badge after completion of designated CBL activities or commitments that may include articles and videos on health, fitness and wellness.
It is not a representation that a Member is safe, compatible, emotionally healthy, or suitable for a relationship.
33. SAFETY AND MEMBER INTERACTIONS
CBL cannot control everything Members say or do.
Members are responsible for exercising reasonable judgment when communicating with or meeting another person.
CBL recommends that Members:
- communicate through CBL initially;
- avoid sharing sensitive financial information;
- never send money to someone merely because they met through CBL;
- meet initially in populated public places;
- tell a trusted person about in-person meeting plans;
- arrange independent transportation;
- protect home and workplace information;
- report suspicious behavior; and
- discontinue interactions that appear unsafe.
CBL provides reporting and blocking functionality or equivalent safety mechanisms as available within the Services.
34. NO GUARANTEE OR BACKGROUND-CHECK WARRANTY
Identity verification and platform moderation reduce certain risks but cannot eliminate them.
Unless expressly stated otherwise, CBL does not represent that every Member has undergone a comprehensive criminal-background check.
Even where screening or verification is performed, CBL does not guarantee that information is complete, current, or error-free.
A verified profile does not mean CBL endorses the Member.
Members remain responsible for personal safety decisions.

- harassment;
- stalking;
- threats;
- sexual exploitation;

CBL may investigate and take action based on available evidence, safety considerations, these Terms, and applicable law.
CBL is not obligated to disclose confidential investigative information or enforcement methodology to reporting or reported Members except where required by law.
36. ACCOUNT SUSPENSION AND TERMINATION
CBL may warn, restrict, suspend, or permanently terminate an account where reasonably necessary to:
- enforce these Terms;
- protect Members;
- investigate fraud;
- respond to safety concerns;
- comply with law;
- prevent abuse;
- protect CBL’s systems; or
- address conduct materially inconsistent with the purpose of the Services.
Serious violations may result in immediate termination without prior warning.
A terminated Member may not create another account to circumvent the termination.
CBL may use reasonable technical and account information to identify and prevent ban evasion where permitted by law.
Termination for a violation does not automatically create a right to a refund unless required by law.
37. LAW-ENFORCEMENT REQUESTS
CBL is committed to protecting Member privacy while complying with valid legal obligations.
Law-enforcement requests for Member information should identify:
- the requesting agency;
- requesting officer or authorized official;
- official contact information;
- legal authority supporting the request;
- specific account or user identifiers;
- categories of information requested;
- relevant date range; and
- applicable legal process.
CBL may require a subpoena, court order, search warrant, or other legally sufficient process depending on the information requested and applicable law.
CBL reserves the right to reject, narrow, challenge, or seek clarification of requests that are overbroad, defective, unlawful, or insufficiently specific.
38. EMERGENCY DISCLOSURE REQUESTS
Where permitted by law, CBL may voluntarily disclose information to law enforcement where CBL reasonably and in good faith believes an emergency involving imminent danger of death or serious physical injury requires disclosure without delay.
Emergency requests should identify:
- the nature of the emergency;
- person or persons believed to be in danger;
- relationship between the emergency and the CBL account;
- information requested;
- why the requested information is necessary; and
- why ordinary legal process cannot be obtained in time.
Emergency disclosure requests are evaluated individually.
Submitting an emergency request does not guarantee disclosure.
39. PRESERVATION REQUESTS
CBL may preserve account records in response to legally valid preservation requests.
Preservation does not itself constitute disclosure.
Law-enforcement agencies must obtain appropriate legal process for disclosure unless an exception authorized by applicable law applies.
CBL may also preserve information reasonably necessary to investigate serious violations, prevent fraud, protect Members, enforce these Terms, or comply with legal obligations.
40. NOTICE OF LEGAL REQUESTS
CBL may notify a Member when CBL receives legal process seeking information concerning that Member unless:
- notice is legally prohibited;
- a court order prohibits notice;
- CBL reasonably believes notice could create a risk of death, serious injury, exploitation, or obstruction;
- notice would compromise an investigation where nondisclosure is legally authorized; or
- another lawful exception applies.
41. CHILD-SAFETY REPORTING
Where CBL obtains actual knowledge of facts or circumstances requiring a report concerning apparent child sexual exploitation or child sexual abuse material, CBL will make legally required reports, including reports to the National Center for Missing & Exploited Children’s CyberTipline where applicable.
CBL may preserve relevant account and communications information as authorized or required by law.
42. HUMAN-TRAFFICKING AND SERIOUS-SAFETY REPORTS
Where CBL receives credible information suggesting human trafficking, sexual exploitation, kidnapping, credible threats of serious violence, or other imminent safety concerns, CBL may:
- restrict or suspend relevant accounts;
- preserve relevant records;
- investigate platform activity;
- cooperate with appropriate authorities;
- make reports where legally required or permitted; and
- take reasonable measures designed to protect CBL Members and the platform.
CBL will not knowingly provide advance notice to a suspected offender where doing so is prohibited by law or would create a serious safety risk.
43. PRIVACY
CBL’s collection, use, storage, processing, disclosure, retention, and deletion of personal information are governed by CBL’s Privacy Policy and applicable law.
Depending on how a Member uses the Services, CBL may process categories of information including:

- information necessary for fraud prevention and platform security.
CBL will provide legally required privacy notices and rights.
44. PRIVACY CHOICES AND RIGHTS
Depending on applicable law and jurisdiction, Members may have rights concerning access, correction, deletion, portability, restriction, withdrawal of consent, or other treatment of personal information.
Requests may be submitted to:
support@CelebrateBlackLove.com
CBL may verify the identity and authority of the person submitting a request before processing it.
Certain information may be retained where reasonably necessary or legally permitted for:
- legal compliance;
- fraud prevention;
- account security;
- safety investigations;
- enforcement;
- dispute resolution;
- financial recordkeeping;
- preservation obligations; or
- establishment, exercise, or defense of legal claims.
45. PRIVACY OF OTHER MEMBERS
Members may not collect, scrape, publish, sell, expose, or misuse another Member’s private or personal information.
Members may not publicly disclose another Member’s address, telephone number, workplace, financial information, identification documents, private communications, or other sensitive information without lawful authorization.
Doxxing is prohibited.
46. SECURITY
CBL uses administrative, technical, and organizational measures designed to protect information.
No online service, transmission system, or storage system can guarantee absolute security.
Members must promptly notify CBL of suspected unauthorized access or security incidents affecting their accounts.
47. THIRD-PARTY SERVICES
CBL may integrate services provided by payment processors, identity-verification companies, communications providers, app stores, analytics providers, cybersecurity providers, mental-wellness providers, and other vendors.
CBL is not responsible for independent third-party services outside CBL’s reasonable control.
Use of third-party services may also be governed by the third party’s terms and privacy policies.
48. ADVERTISING
Certain membership levels may display advertising.
Advertising does not necessarily constitute CBL’s endorsement of an advertiser, product, service, or claim.
Members are responsible for evaluating third-party offers before entering transactions.
49. SERVICE CHANGES
CBL may improve, modify, discontinue, replace, or add features to the Services.
CBL will not retroactively deprive Members of material prepaid rights where doing so would violate applicable law.
Material changes affecting recurring paid services will be communicated where required.
50. DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
CBL DOES NOT WARRANT THAT:
- EVERY PROFILE IS ACCURATE;
- EVERY MEMBER IS SAFE;
- EVERY MEMBER IS SINGLE;
- EVERY MEMBER’S INTENTIONS ARE TRUTHFUL;
- MEMBERS WILL BE COMPATIBLE;
- A MEMBER WILL FIND A MATCH;
- A MATCH WILL RESULT IN A DATE;
- A DATE WILL RESULT IN A RELATIONSHIP OR MARRIAGE;
- THE SERVICES WILL ALWAYS BE AVAILABLE OR ERROR-FREE; OR
- AI, COMPATIBILITY, OR OTHER RECOMMENDATIONS WILL ALWAYS BE ACCURATE.
Nothing in these Terms excludes warranties or consumer rights that legally cannot be excluded.
51. ASSUMPTION OF RISK
Online dating involves interactions with independent third parties.
Members acknowledge that CBL cannot control all Member conduct online or offline.
Members accept responsibility for evaluating other Members, deciding whether and where to meet, protecting personal information, and making independent decisions concerning relationships and interactions.
This provision does not waive rights or remedies that cannot lawfully be waived.
52. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CBL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM USE OF THE SERVICES.
Any monetary limitation stated or applied by CBL shall be subject to applicable consumer-protection law and shall not apply where liability cannot legally be limited.
Nothing in these Terms limits liability that applicable law prohibits CBL from limiting.
53. INDEMNIFICATION
To the extent permitted by law, you agree to defend, indemnify, and hold harmless CBL and its affiliates, officers, directors, agents, and representatives from third-party claims arising from:
- your unlawful conduct;
- your Member Content;
- your material violation of these Terms;
- your infringement of another person’s rights; or
- your misuse of the Services.
This obligation does not apply to the extent a claim results from CBL’s own unlawful conduct.
54. DISPUTE RESOLUTION AND INFORMAL RESOLUTION
Before commencing formal proceedings, you and CBL agree, where permitted by law, to attempt in good faith to resolve a dispute informally.
A written dispute notice should include the Member’s name, account contact information, description of the dispute, and requested resolution.
Notices may be sent to:
support@CelebrateBlackLove.com
or:
Celebrate Black Love LLC
30 N Gould St, Ste N
Sheridan, WY 82801
United States
The parties should allow a reasonable period for informal resolution before commencing formal proceedings, except where immediate relief is legally necessary.
55. ARBITRATION AND CLASS-ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT MAY AFFECT YOUR LEGAL RIGHTS.
Except where prohibited by law, disputes that cannot be resolved informally may be resolved through binding individual arbitration rather than a jury trial.
To the extent legally enforceable, disputes must be brought individually and not as a plaintiff or class member in a purported class, collective, consolidated, or representative proceeding.
Nothing in this section prevents either party from pursuing an eligible matter in small-claims court or seeking emergency or injunctive relief where legally available.
Any arbitration provision will be interpreted and enforced subject to the Federal Arbitration Act and applicable consumer-protection requirements.
If applicable law gives a consumer a non-waivable right to pursue a particular claim in court or participate in a particular proceeding, that right controls.
56. GOVERNING LAW
Except where applicable consumer law requires otherwise, these Terms and disputes concerning them will be governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles.
Mandatory consumer protections of the Member’s state, territory, province, or country remain applicable where they cannot legally be waived.
57. CHANGES TO THESE TERMS
CBL may amend these Terms as the Services, laws, technology, safety practices, or business operations evolve.
The updated Terms will display a revised “Last Updated” date.
Where required by law, CBL will provide advance notice of material changes.
Continued use after legally effective changes constitutes acceptance to the extent permitted by law.
Where affirmative consent is legally required, CBL will obtain it.
58. SEVERABILITY
If a provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will continue in effect, unless applicable law requires otherwise.
59. NO WAIVER
CBL’s failure to enforce a provision on one occasion does not waive its right to enforce that provision later.
60. ASSIGNMENT
Members may not assign or transfer their accounts or contractual rights without CBL’s written consent.
CBL may assign this Agreement in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or similar transaction, subject to applicable law and privacy obligations.
